Terms of Use

These Terms of Use (“Terms”) govern your access to and use of the Grapes AI platform, websites, and related services (the “Service”) provided by BLOCKWISE LTD (“Grapes”, “we”, “us”, or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and “you” refers to that organization.

2. The Service

Grapes provides an AI platform that helps operate your business by running AI agents that connect to the third-party tools, services, and accounts you already use (your “Connected Services”). Depending on how you configure the Service, agents may read and write data, send communications, create or modify records, and otherwise take actions in your Connected Services on your behalf — including automatically, without a separate prompt for each action, where you enable autonomous operation.

The Service may evolve over time, and features may be added, changed, or removed.

3. Accounts and registration

You are responsible for the information you provide, for keeping your account credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any applicable law or third-party rights;
  • access or connect accounts or data you are not authorized to access;
  • attempt to disrupt, reverse engineer, or gain unauthorized access to the Service;
  • use the Service to generate unlawful, harmful, deceptive, or abusive content;
  • use the Service, or let agents take actions, in any way that violates applicable law, the terms of your Connected Services, or the rights of others — including laws governing electronic communications, marketing, and consent (such as anti-spam and messaging rules) when agents send email or messages on your behalf;
  • rely on the Service or on agent actions in high-risk settings where a failure or error could lead to death, personal injury, or serious physical, environmental, or infrastructure harm; or
  • resell or provide the Service to third parties except as expressly permitted.

5. Your data and Connected Services

You retain ownership of the data you submit and the data in the Connected Services you link (“Customer Data”). You grant Grapes a limited license to access, process, and store Customer Data solely to provide and improve the Service. You are responsible for having the rights and authority to connect each account, and you may disconnect any integration at any time. Your use of Connected Services is also governed by their own terms.

When you connect a service, you authorize Grapes and its agents to act within that service using the access you grant. Actions taken through your Connected Services are taken on your behalf and are treated as authorized by you. You control, and are responsible for, the permissions you grant (including read-only versus read-and-write access), which agents are enabled, what runs autonomously versus requires your approval, and the credentials and scopes you provide. We recommend granting the least access necessary, keeping approval controls on for sensitive or irreversible actions, and maintaining your own backups of important data.

We may also generate and use aggregated or de-identified information — which cannot reasonably be used to identify you or your Customer Data — to operate, secure, analyze, and improve the Service.

6. AI agents, autonomous actions, and oversight

The Service relies on automated systems and AI agents. Their output and actions may be inaccurate, incomplete, or unexpected, and agents may act autonomously where you enable autonomous operation. You are solely responsible for deciding which agents to run, what they may do, and which actions run automatically versus require your approval, and for all actions agents take through your account or Connected Services — whether those actions are autonomous or individually approved by you.

You should keep meaningful human review on important, sensitive, or irreversible actions. AI output is provided for your evaluation, is not professional (including legal, financial, medical, or tax) advice, and should not be relied upon as your sole basis for decisions.

7. Intellectual property

The Service, including its software, design, and content (excluding Customer Data), is owned by Grapes and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service per these Terms. If you send us feedback, you grant us a perpetual, royalty-free license to use it.

As between you and Grapes, you own the work product that agents generate for you from your inputs and Customer Data, subject to the rights of third parties and of the providers of any underlying AI models. Because output is produced by AI models, comparable or identical results may be generated for other users, and you are responsible for confirming that anything an agent produces is appropriate and lawful for your use.

8. Copyright and IP complaints

We respect intellectual property rights. If you believe content made available through the Service infringes your rights, contact us at yoni@tusksec.com with enough detail to identify the material and your rights. We will review valid notices and respond as appropriate, including removing infringing content and, where warranted, suspending repeat infringers.

9. Third-party services

The Service integrates with third-party products (for example Google, Meta, and other business tools). We do not control and are not responsible for third-party services, and their availability or terms may change.

10. Beta and early-access features

Some features, or the Service as a whole, may be offered on a beta or early-access basis. These are provided “as is”, may be changed or discontinued, and may not be as reliable as generally available features.

11. Fees

Fees, billing terms, and any free or trial tiers (if applicable) will be described at the point of purchase or in a separate order. Except as required by law or stated otherwise, fees are non-refundable.

12. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Without limiting the above, to the maximum extent permitted by law Grapes is not responsible or liable for actions taken, or output generated, by AI agents through your account or Connected Services — including inaccurate, unintended, autonomous, or destructive actions such as messages or communications sent, content created or published, and data created, modified, or deleted, as well as transactions or business decisions made or informed by the Service. We do not warrant that AI output or agent actions will be accurate, complete, lawful, or fit for your purposes, and you are responsible for configuring approvals and access accordingly and for the consequences of how you operate the Service.

13. Limitation of liability

To the maximum extent permitted by law, Grapes will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, including any such damages arising from AI output or actions taken by agents through your account or Connected Services. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid us in the 12 months before the claim or USD 100.

14. Indemnification

You agree to indemnify and hold Grapes harmless from claims, losses, and expenses arising from your Customer Data, your use of the Service, actions taken by agents through your account or Connected Services (including communications sent on your behalf), or your violation of these Terms or applicable law.

15. Term and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users.

On termination, your right to use the Service ends and your integrations are disconnected. You may request an export of your Customer Data within 30 days of termination; after that, we may delete it, subject to backups retained for a limited period and to any data we must keep to comply with law. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and the general provisions below — survive termination.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

17. Export controls and sanctions

You represent that you are not located in, and will not use the Service in or for the benefit of, a country or region subject to comprehensive sanctions, and that you are not on any government restricted-party list. You are responsible for complying with applicable export-control and sanctions laws in connection with your use of the Service.

18. Governing law

These Terms are governed by the laws of the State of Israel, without regard to conflict-of-law rules, and the competent courts of Tel Aviv-Jaffa, Israel will have exclusive jurisdiction over any disputes, except where applicable law provides otherwise.

19. General

These Terms, together with any order or policy referenced here, are the entire agreement between you and Grapes regarding the Service and supersede prior discussions. If any provision is held unenforceable, the rest remains in effect and the unenforceable part will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it.

You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. Grapes and you are independent contractors, and these Terms create no partnership, agency, or employment relationship and no third-party beneficiaries. Neither party is liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control. We may provide notices through the Service or by email.
